Welcome to Tenki. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Tenki Cloud, LLC ("Tenki," "we," "us," or "our") governing your access to and use of our cloud computing services, software, and related offerings (collectively, the "Service"). By accessing or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Eligibility

The Service is intended solely for individuals who are at least eighteen (18) years of age and have the legal capacity to enter into binding contracts under applicable law. By using the Service, you represent and warrant that you meet these eligibility requirements. You further represent and warrant that you are not a resident of, or otherwise accessing the Service from, a jurisdiction that is subject to embargoes, sanctions, or other restrictions under applicable United States laws and regulations (a "Restricted Jurisdiction").

2. User Responsibilities and Prohibited Conduct

You agree that your use of the Service shall comply with all applicable local, state, national, and international laws, regulations, and conventions, including without limitation those related to data privacy, international communications, and the exportation of technical or personal data.

You agree to:

Provide and maintain accurate, complete, and current information as requested by Tenki;
Complete any Know Your Customer ("KYC") and Anti-Money Laundering ("AML") verification processes upon request;
Maintain the confidentiality of your account credentials and not share your password or permit unauthorized access to your account.

You shall not:

Use the Service in any manner that is unlawful, fraudulent, or in violation of any applicable law, regulation, or third-party rights;
Deploy malicious code, including but not limited to viruses, worms, or distributed denial-of-service (DDoS) attacks;
Engage in any activity that interferes with or disrupts the Service, Tenki’s systems, or networks connected to the Service.

Tenki reserves the right, in its sole discretion, to suspend or terminate your account and access to the Service at any time for any reason, including, but not limited to, a suspected or actual violation of these Terms.

3. Fees and Payment Terms

To access certain features of the Service, you may be required to provide a valid payment method processed via a third-party provider, such as Stripe. Charges will be incurred based on your actual usage of the Service and will be billed monthly in arrears. Invoices will be issued at the end of each billing cycle.

Failure to remit timely payment may result in suspension or termination of your access to the Service. Tenki reserves the right to modify its pricing, billing practices, and payment terms at any time at its sole discretion. Any exceptions to these terms must be formalized through a signed written agreement.

4. Account Suspension and Termination

Tenki reserves the right, at its sole discretion and without prior notice, to suspend, terminate, or otherwise restrict your access to the Service in whole or in part for any reason or no reason, including but not limited to non-compliance with these Terms, suspected fraudulent activity, or failure to remit payment when due.

5. Disclaimer of Warranties and Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. Tenki expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Tenki makes no guarantee that the Service will be uninterrupted, timely, secure, or error-free. From time to time, the Service may be unavailable due to scheduled maintenance, outages, or circumstances beyond our reasonable control.

In no event shall Tenki, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of or inability to access the Service.

6. Modifications to Terms

Tenki reserves the right to revise, modify, or update these Terms at any time, in its sole discretion. We will make reasonable efforts to notify you of material changes, which may include updating the "Last Updated" date above. Your continued use of the Service after any such changes become effective constitutes your acceptance of the revised Terms.

7. Privacy Policy

Your use of the Service is subject to Tenki’s Privacy Policy, which is incorporated by reference into these Terms. The Privacy Policy outlines the types of information we collect, how we use that information, and the rights and choices available to users with respect to their personal data. By accessing or using the Service, you acknowledge that you have reviewed and consent to the practices described in the Privacy Policy.

8. Intellectual Property Rights

All content, features, and functionality of the Service, including but not limited to the Tenki name, logo, software, interfaces, and other intellectual property, are owned by or licensed to Tenki and are protected under applicable intellectual property laws.

You retain all rights and ownership of the content that you submit, upload, or transmit through the Service. By using the Service, you grant Tenki a worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, and display such content as reasonably necessary to provide and improve the Service.

9. Compliance with Laws

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Service. Tenki reserves the right to immediately suspend or terminate access to the Service without refund or recourse if we become aware of any unlawful conduct or violation of applicable law by you.
